
Bill Swanstrom has nearly twenty years of experience working with energy companies in their significant acquisition and divestiture activities and is a member of the Firm's Executive Committee. He is a regular speaker and writes on energy M&A issues. Mr. Swanstrom also has substantial experience in energy private equity transactions, representing both investors and companies. In addition, Mr. Swanstrom has significant experience in project development and financing of energy assets, including the development of the largest gas pipeline developed in the U.S. in the last twenty years, and the largest wind farm in the world.
Representative Experience
- Represented ONEOK in its $1.4 billion acquisition of Koch’s NGL assets.
- Represented major international commodity company in its $150 million acquisition of TEPPCO’s ownership interest in Mont Belvieu Storage Partners, which owns significant NGL storage and transportation assets.
- Acting as project counsel in representing joint venture of two Fortune 500 energy companies in developing a $4.5 billion gas pipeline project running from the Rocky Mountains to Ohio.
- Represented Parsons E&C (one of the largest U.S. engineering companies in the energy business) in its $240 million sale to The Worley Group, an Australian company in the same business. Have continued to represent the combined company – WorleyParsons -- in a number of acquisitions both domestically and internationally.
- Represented a major private equity fund in its acquisition and subsequent sale of a Gulf Coast oilfield services company for over $100 million.
- Represented major energy company in its acquisition of 1700 MW of electricity generation assets in New York for purchase price in excess of $1,000,000,000.
- Represented the largest independent gas storage company in the U.S. in its recapitalization transaction with one of the world’s largest private equity funds.
- Represented publicly-traded company in the sale of its mid-continent gathering systems, transmission pipelines and processing facilities for over $300 million. The assets covered by the transaction included eight gas processing plants, interests in two other plants, and approximately 7,000 miles of gas gathering and intrastate pipeline transmission systems in Oklahoma, Kansas and the Texas Panhandle.
- Represented major independent oil and gas company in its sale in a tax-free merger to a publicly-traded energy company for stock and cash of approximately $80 million.
- Represented major private equity fund in several acquisitions in the energy and related industries.
- Represented Millenium Midstream, a private midstream company, in its recapitalization transaction with Kayne Anderson and Tortoise Capital.
- Represented a large domestic electricity generation company in a series of power plant sales totaling approximately 1500 MW in generation.
- Represent major integrated energy company in its development of what will be the largest wind farm in the world, with capacity to generate over 2000 MW.
- Represented the largest retail gas and electricity company in the world in its acquisition of a series of smaller gas and electricity retail companies throughout the U.S.
