Jim Ashley brings more than 25 years of experience to general corporate, finance, mergers and acquisitions, and securities issues. His practice focuses on the day-to-day counseling of corporations on a wide range of legal issues, including mergers and acquisitions, distribution and supply arrangements, joint ventures (both domestic and foreign), corporate governance and securities advice. He has represented clients in the high technology, manufacturing, mining, and service industries.
Corporate Governance
Mr. Ashley has provided guidance to companies and their board of directors on a number of governance issues including family issues and control of blocks of stock. He has provided advice to the U.S. operations of foreign parents on a number of U.S. domestic issues. He has also provided advice on board structure and operation in light of recent developments under Sarbanes-Oxley and related rules and regulations.
Mergers & Acquisition
Mr. Ashley on representation of companies in a variety of matters, devoting much of his practice to mergers and acquisitions. His clients range in size from small family-owned businesses with less than $1 million in sales to public companies.
Supply & Distribution
Mr. Ashley has advised buyers and sellers on a wide variety of distribution and supply issues: including requirements contracts, distribution and sales representative arrangements, and joint development projects. The types of transactions he is involved with cover the gamut from small one-time transactions to multi-year supply agreements with large multi-national corporations. He has represented companies in the electronic, fiber optical, mining, forest products, alcoholic beverage and services industries, among others.
